Introduction and Nature of the Protocol

Welcome to nuBlock, a licensed platform under nuBlock LLC, managed by nuBlock Labs, a decentralized, non-custodial payment and social ecosystem built on the Ethereum virtual machine networks infrastructure. These Terms and Conditions govern your access to and use of the nuBlock ecosystem, decentralized payment protocol, and associated services. By accessing the nuBlock network you acknowledge that nuBlock is not a financial institution, bank, or brokerage. We provide a strategic outlook and software solutions that allow you to interact directly with the EVM and Solana network blockchains. Your use of our services constitutes a binding agreement that you understand the decentralized nature of our network, where privacy and user autonomy are the core design principles.

The Interfaces and Features

nuBlock provides a multi-faceted interface allowing for professional social interaction, including audio, video, and document sharing, alongside a non-custodial wallet (vault) for digital assets transactions. Our platform utilizes EVM networks technology to ensure transparency and security in every transaction. Features include "Swaps, Transactions, and Pay-To-View" content structures, cross-platform technology solutions, and integration with third-party APIs such as, i.e Ethereum, Polygon, Arbitrum and or Solana networks. We do not host your digital assets on our servers; instead, our interface facilitates your interaction with smart contracts. You remain in sole control of your private keys, which are stored locally on your device upon downloading or interacting with the nuBlock ecosystem.

Modifications to Terms and Services

As technology and the regulatory compliance for blockchain evolve, nuBlock reserves the right to modify these terms at any time. We will provide notice of significant changes by updating the date of these terms or through in-network notifications. Your continued use of the platform after such modifications constitutes acceptance of the revised terms. Furthermore, because nuBlock is a decentralized network, specific features or smart contracts may be updated, deprecated, or replaced to improve network security or efficiency without prior individual consent.

Your Responsibilities and Representations

When using nuBlock, you represent that you are of legal age and possess the capacity to enter into this agreement. You are solely responsible for your behavior, content, and the security of your account credentials, including your 12 word key phrase, PIN and security questions. You represent that you will not use the platform for any illegal activities, including money laundering or financing terrorism. You acknowledge that as a decentralized platform, nuBlock does not store your private keys and cannot retrieve lost funds, reset forgotten 12 word key phrases, PINs, security questions or reverse transactions. You are responsible for ensuring all 42-character wallet addresses are accurate before initiating a transfer.

Intellectual Property Rights

All rights, titles, and interests in the nuBlock brand, logos, software, and proprietary technology are the exclusive property of nuBlock. While we empower users to share content, the underlying infrastructure, code, and "nuBlock" trademarks remain protected. Users are granted a limited, non-exclusive, non-transferable license to access the platform for personal or professional use. You may not attempt to decompile, reverse engineer, or maliciously exploit the nuBlock smart contracts or interface. User-generated content remains the property of the creator, though you grant nuBlock the technical right to host and display such content within the network as per your privacy settings.

Third-Party Information or Services

Our services integrate with third-party providers, including but not excluding, all ethereum virtual machine blockchain networks, solana network, coinbase, for fiat-to-crypto 0n-off ramping, and Google or Apple for in-store payments. nuBlock does not control these third parties, and your interaction with them is governed by their respective terms. We are not responsible for any delays, failures, or security breaches occurring within third-party systems. Furthermore, while we provide links or access to external blockchain data and decentralized applications (dApps), we do not endorse or assume liability for the accuracy of information provided by outside businesses or persons.

Indemnification

You agree to hold harmless, defend, and indemnify nuBlock, nuBlock LLC, its officers, employees, and agents from any claims, damages, or losses arising from your use of the platform. This includes, but is not limited to, your violation of these terms, your infringement of any third-party rights, or any volatile behavior or content you post within the social structure. Because nuBlock is a decentralized tool, you assume all liability for transactions executed through your wallet (vault) and any resulting financial or legal consequences.

Disclaimers and Limitations of Liability

nuBlock is provided on an "as-is" and "as-available" basis. We make no warranties regarding the uptime of the Blockchain networks that we provide service through or the constant availability of our interface. To the maximum extent permitted by law, nuBlock shall not be liable for any indirect, incidental, or consequential damages, including loss of funds, unsuccessful transactions, or errors in transfers. Digital assets are inherently volatile; nuBlock does not guarantee profitability or protection against market loss. You acknowledge that blockchain transactions are irreversible and that nuBlock has no power to "roll back" or cancel transactions once they are broadcast to the network.

Governing Law, Dispute Resolution, and Compliance

This section dictates how legal disputes are handled and outlines your obligations regarding international sanctions and regional laws.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which nuBlock is registered, without regard to its conflict of law provisions. For users residing within the

European Union (EU)

or the

United Kingdom (UK)

, nothing in these terms shall deprive you of the protection afforded to you by mandatory provisions of the laws of your country of residence, including the

General Data Protection Regulation (GDPR)

and the

UK Data Protection Act

. You agree that any legal action or proceeding not subject to the Arbitration section below shall be not be brought exclusively in the courts of nuBlock’s registered jurisdiction or, where applicable by law, the competent courts of the EU or UK.

Global Sanctions and OFAC Compliance

You represent and warrant that you are not: (a) located in, under the control of, or a national or resident of any country under a

U.S. Government embargo (OFAC)

, or designated as a "Specially Designated National"; (b) listed on the

UK Sanctions List

maintained by the Office of Financial Sanctions Implementation (OFSI); or (c) subject to

EU restrictive measures

(sanctions) as published by the European Commission. nuBlock operates under a "Strict Liability" standard for sanctions compliance. Because nuBlock is a decentralized protocol, we do not have the ability to "freeze" funds once they are in your non-custodial vault; however, we reserve the right to use geolocation blocking and address-screening technology to restrict access to our Interface for any user originating from or associated with a sanctioned jurisdiction. You are solely responsible for ensuring your use of the platform complies with all local and international laws.

Binding Arbitration and Class Action Waiver

Except for disputes that qualify for small claims court, you and nuBlock agree to resolve any controversy, claim, or dispute arising out of these Terms through

binding, individual arbitration

. This includes claims related to "Transactions," "Swaps," "Pay-To-View" earnings, or any user-to-user interaction. The arbitration shall be conducted in English and administered by a recognized international arbitral body (such as the

LCIA

for UK/EU disputes or

AAA/ICDR

for others).

You expressly waive your right to a trial by jury and your right to participate in a class-action lawsuit or class-wide arbitration

. You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Decentralized Interaction Disclaimer

You acknowledge that nuBlock provides only the decentralized infrastructure (via the EVM, and or Solana, Bitcoin Networks) and does not act as an intermediary, escrow agent, or arbitrator for peer-to-peer disputes. nuBlock has no control over, and no liability for, the delivery, quality, or legality of any content or services purchased through “Transactions." Any dispute regarding the execution or outcome of a smart contract is a matter between the participating users on the blockchain. nuBlock cannot reverse, cancel, or refund any on-chain transaction once it has been broadcast to the network. No Relationship or Assignments

Nothing in these terms creates a partnership, joint venture, or agency relationship between you and nuBlock. You may not assign or transfer your rights under these terms to any other party. nuBlock may assign its rights or obligations under these terms in the event of a merger, acquisition, or sale of assets, provided that your personally identifying information remains protected under our privacy standards.

Entire Agreement

These Terms and Conditions, alongside our Privacy Policy, constitute the entire agreement between you and nuBlock regarding the use of our services. This agreement supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written. If any provision of these terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

No Waiver

The failure of nuBlock to enforce any right or provision of these terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by an authorized representative of nuBlock. Our commitment to maintaining a safe, professional, and decentralized environment remains our priority, regardless of any delays in enforcing specific community guidelines.
